Can a non-resident open a Czech s.r.o.?
Yes. Non-residents — EU and non-EU citizens, as well as foreign companies — can be sole shareholders of a Czech s.r.o. The entire process is done remotely via a notarised power of attorney.
Why does a Czech s.r.o. require a notary?
Czech law requires a notarial deed (notářský zápis) to form an s.r.o. A Czech notary verifies identity, prepares the memorandum of association (společenská smlouva), and certifies the deed. We coordinate with the notary on your behalf.
What is the minimum share capital?
The statutory minimum is CZK 1 — one Czech crown. This makes Czech formation very accessible, though a higher capital (e.g. 50 000 Kč) may strengthen credibility with banks and partners.
What is an IČO?
IČO (identifikační číslo osoby) is the Czech company identification number, assigned by the Commercial Register (obchodní rejstřík) upon registration. Every Czech business entity has one and it is required for invoicing and official communication.
What is a datová schránka?
Datová schránka is the mandatory Czech government data inbox for companies. Since 2023 all newly registered s.r.o.s receive one automatically. It is used for official electronic communication with Czech authorities.
What taxes will my Czech company pay?
Czech corporate income tax is 21% on net annual profit. Dividends paid to shareholders attract 15% withholding tax. VAT registration is required above 2 000 000 Kč annual turnover. See our VAT guide.
How long does registration take?
After the notarial deed is signed, filing with the Commercial Register (obchodní rejstřík) usually takes 5–15 business days, depending on the notary and register workload. A ready-made s.r.o. is available immediately.
